For the purpose of ratifying the agreement

Welcome to Nexus Platform ("Nexus", "Platform", "we", "our", or "us"), operated by Dietary Business Intelligence LLC. These Terms and Conditions ("Terms") govern your access to and use of the Nexus Platform, including our websites, applications, APIs, AI-powered features, databases, subscriptions, and related services (collectively, the "Services").

By accessing, browsing, registering for, subscribing to, or using the Nexus Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not access or use the Services.

These Terms constitute a legally binding agreement between you and Dietary Business Intelligence LLC.

About Nexus Platform

Nexus is an AI-powered business intelligence platform that provides businesses with access to verified company information, professional business contacts, ingredient intelligence, product intelligence, certifications, market insights, and related business data.

The Platform is designed to support sales, procurement, sourcing, compliance, marketing, research, and business development activities across industries including food, nutraceuticals, dietary supplements, pharmaceuticals, cosmetics, pet nutrition, and related sectors.

Nexus combines publicly available information, licensed commercial datasets, customer-contributed updates, proprietary research, and AI-assisted validation processes to provide continuously updated business intelligence.

Eligibility

You may use the Nexus Platform only if:

  • You are at least 18 years of age or the age of majority in your jurisdiction.
  • You have the legal authority to enter into binding agreements.
  • You are using the Platform on behalf of a legitimate business, organization, or other lawful entity, or for lawful professional purposes.
  • Your use of the Platform complies with all applicable laws and regulations.

If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

User Accounts

Certain features of the Nexus Platform require users to create an account.

When creating an account, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your account information.
  • Keep your login credentials confidential.
  • Be responsible for all activities conducted through your account.
  • Notify Nexus immediately of any unauthorized use of your account or suspected security breach.

Nexus reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or are used for unauthorized or unlawful activities.

Subscriptions and Access

Access to certain features of the Nexus Platform may require a paid subscription or other commercial agreement.

Subscription plans may include different levels of access, user limits, feature availability, API access, data export capabilities, AI-powered features, or usage credits.

Subscription fees, billing cycles, renewal terms, and available features are described at the time of purchase or in the applicable commercial agreement.

Unless otherwise stated:

  • Subscription fees are payable in advance.
  • Fees are non-refundable except where required by applicable law or expressly stated by Nexus.
  • Failure to pay applicable fees may result in suspension or termination of access.

Nexus reserves the right to modify subscription plans, pricing, or available features upon reasonable notice.

Free Trials and Promotional Access

From time to time, Nexus may offer free trials, promotional access, evaluation accounts, or limited-time offers.

Unless otherwise specified:

  • Trial access is provided solely for evaluation purposes.
  • Trial features may differ from paid subscriptions.
  • Nexus may limit or discontinue promotional access at any time.
  • Trial accounts may automatically expire at the end of the promotional period unless converted into a paid subscription.
Customer Responsibilities

Users are responsible for ensuring that their use of the Nexus Platform complies with applicable laws, regulations, contractual obligations, and internal company policies.

You agree to use the Platform responsibly and acknowledge that information provided through Nexus is intended to support business research, prospecting, sourcing, procurement, compliance, and other legitimate commercial activities.

Users remain solely responsible for:

  • Business decisions made using information obtained through the Platform.
  • Compliance with applicable privacy, marketing, and communication laws.
  • Verifying business-critical information before relying upon it for legal, financial, regulatory, employment, procurement, or contractual decisions.
Business Intelligence Data

Nexus provides access to business intelligence gathered from multiple lawful sources.

Information available through the Platform may include:

  • Company profiles
  • Professional business contacts
  • Product information
  • Ingredient intelligence
  • Certification data
  • Manufacturing capabilities
  • Market intelligence
  • Regulatory information
  • Import and export intelligence

  • Other business-related information

Nexus continuously improves its database through AI-assisted validation, automated quality checks, cross-referencing, customer-contributed updates, and periodic quality assurance processes.

While Nexus strives to maintain high-quality and continuously updated business intelligence, business information changes over time. Users should independently verify information before making legal, financial, regulatory, procurement, employment, or other business-critical decisions.

Your use of the Nexus Platform is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal and business information.

Acceptable Use

You agree to use the Nexus Platform only for lawful business purposes and in accordance with these Terms.

You shall not use the Platform in any manner that:

  • Violates applicable laws or regulations.
  • Infringes the intellectual property or other rights of Nexus or any third party.
  • Interferes with or disrupts the operation, security, or availability of the Platform.
  • Attempts to gain unauthorized access to any systems, networks, databases, accounts, or information.

  • Introduces viruses, malware, malicious code, or other harmful technologies.
  • Misrepresents your identity or affiliation with any individual or organization.

Nexus reserves the right to investigate suspected misuse of the Platform and to suspend or terminate access where these Terms are violated.

Data Usage and Permitted Use

The business intelligence, company profiles, professional business contacts, product information, ingredient intelligence, certifications, market insights, and other content available through the Nexus Platform are provided solely for legitimate internal business purposes.

Subject to your subscription and applicable usage limits, you may use the Platform to support activities such as:

  • Business research
  • Sales prospecting
  • Procurement and sourcing
  • Supplier discovery
  • Market research
  • Compliance and quality assurance
  • Product development
  • Business development
  • Internal analytics and reporting

Except as expressly permitted by Nexus, you may not:

  • Redistribute or resell Platform data.
  • Publish or publicly display substantial portions of the database.
  • Build, enhance, or operate a competing business intelligence platform or database using information obtained from Nexus.
  • Use Platform data to train, develop, or improve artificial intelligence or machine learning models without prior written authorization.
  • Remove or alter any copyright, trademark, or proprietary notices.
Data Export and Usage Limits

Certain subscription plans may permit the export or download of business intelligence records.

Exported information:

  • May be used only for your organization's legitimate internal business purposes.
  • Must remain subject to these Terms after export.
  • May not be redistributed, sublicensed, sold, rented, or otherwise made available to third parties without prior written consent from Nexus.

Nexus reserves the right to establish reasonable usage limits, export thresholds, API rate limits, and other technical controls to ensure fair and secure use of the Platform.

Prohibited Activities

Without limiting the generality of these Terms, you agree not to:

  • Use bots, crawlers, spiders, scripts, or automated tools to access or extract information from the Platform except through officially supported APIs.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, database structure, or underlying technology of the Platform.
  • Copy, mirror, reproduce, scrape, or systematically download substantial portions of the Platform.
  • Create derivative databases using information obtained through Nexus.
  • Circumvent authentication mechanisms, credit systems, subscription restrictions, or technical safeguards.
  • Share user accounts or login credentials with unauthorized individuals.
  • Use the Platform to distribute spam, unsolicited communications, or unlawful marketing campaigns.
  • Attempt to interfere with Platform security testing, penetration testing, or vulnerability scanning without prior written authorization.
AI Features and Generated Insights

The Nexus Platform may include artificial intelligence and machine learning features designed to assist users with business research, company discovery, supplier identification, ingredient intelligence, market analysis, prospecting, and related business activities.

AI-generated content is intended solely as an informational and productivity-enhancing resource.

Although Nexus continuously improves its AI systems through validation and quality assurance processes, AI-generated responses may occasionally contain inaccuracies, omissions, or outdated information.

Users remain responsible for independently verifying AI-generated information before relying upon it for legal, regulatory, financial, employment, procurement, contractual, or other business-critical decisions.

AI-generated outputs do not constitute legal, financial, regulatory, investment, medical, or professional advice.

API Access

Where API access is provided, users agree to comply with all API documentation, authentication requirements, rate limits, and security standards established by Nexus.

Users shall not:

  • Share API credentials with unauthorized persons.
  • Circumvent API rate limits.
  • Use APIs in a manner that degrades Platform performance.
  • Attempt unauthorized access to APIs or underlying systems.
  • Use APIs for unlawful purposes or in violation of these Terms.

Nexus reserves the right to modify, suspend, or revoke API access where necessary to protect the security, stability, or integrity of the Platform.

Credits and Fair Usage

Certain Services may operate using usage credits or other consumption-based models.

Credits may be used for features such as:

  • Record access
  • Data exports
  • AI-powered searches
  • API requests
  • Other Platform services designated by Nexus

Unless otherwise stated:

  • Credits have no cash value.
  • Credits are non-transferable.
  • Unused credits may expire in accordance with the applicable subscription plan.
  • Nexus may adjust credit consumption rates for new features or Services upon reasonable notice.

To ensure fair access for all customers, Nexus may implement reasonable usage thresholds, rate limits, or technical controls to prevent abuse or excessive automated activity.

Intellectual Property

The Nexus Platform, including its software, databases, search technology, AI models, algorithms, user interface, platform architecture, trademarks, logos, graphics, documentation, content, and related intellectual property, is owned by or licensed to Dietary Business Intelligence LLC and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no ownership rights are transferred to users.

You may not copy, modify, distribute, reproduce, create derivative works from, or commercially exploit any portion of the Platform without prior written authorization from Nexus.

Confidentiality

Users may obtain access to proprietary information, business intelligence, documentation, software, technical information, or other confidential materials belonging to Nexus during their use of the Platform.

You agree to maintain the confidentiality of any non-public information obtained through the Services and not to disclose such information except as permitted by these Terms or required by applicable law.

This obligation does not apply to information that:

  • Is publicly available through no fault of the receiving party.
  • Was lawfully known prior to disclosure.
  • Is independently developed without reference to the confidential information.
  • Is lawfully obtained from another source without confidentiality obligations.
Third-Party Services

The Nexus Platform may integrate with or provide access to third-party products, websites, APIs, applications, or services.

Such third-party services are governed by their own terms and privacy policies. Nexus does not control and is not responsible for the availability, functionality, security, accuracy, or content of third-party services.

Your use of third-party services is solely at your own discretion and subject to the applicable third-party terms.

Service Availability

Nexus continually works to maintain reliable access to the Platform.

However, the Services may occasionally become unavailable due to:

  • Scheduled maintenance
  • System upgrades
  • Security updates
  • Network interruptions
  • Third-party service disruptions
  • Events beyond our reasonable control

While we strive to minimize interruptions, Nexus does not guarantee uninterrupted or error-free operation of the Services.

We reserve the right to modify, suspend, or discontinue any feature or functionality where reasonably necessary for maintenance, security, compliance, or business operations.

Data Quality and Business Intelligence Disclaimer

Nexus is committed to providing high-quality business intelligence through continuous data validation, AI-assisted verification, proprietary research, trusted commercial sources, public business records, and periodic quality assurance processes.

Business information available through the Platform is continuously updated and reviewed; however, business information may change over time due to changes made by companies, regulatory authorities, suppliers, manufacturers, or other external sources.

Although Nexus strives to maintain high data quality across the Platform, no business intelligence platform can guarantee that every record will always be complete, current, or error-free.

Users are responsible for independently verifying information before making legal, financial, regulatory, procurement, employment, contractual, or other business-critical decisions.

Nothing contained within the Platform shall be interpreted as legal, financial, accounting, regulatory, investment, medical, or professional advice.

Disclaimer of Warranties

Except as expressly stated in these Terms or required by applicable law, the Nexus Platform and all Services are provided on an "as available" basis.

To the maximum extent permitted by law, Nexus disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in this section limits Nexus's ongoing commitment to maintaining and continuously improving the quality, reliability, and performance of its business intelligence platform.

Limitation of Liability

To the fullest extent permitted by applicable law, Dietary Business Intelligence LLC, its affiliates, officers, directors, employees, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to:

  • Use of or inability to use the Platform.
  • Business interruptions.
  • Loss of profits, revenue, goodwill, or business opportunities.
  • Loss or corruption of data.
  • Third-party acts or omissions.
  • AI-generated outputs.
  • Changes in business information obtained from external sources.

Nexus's total aggregate liability arising from or relating to the Services shall not exceed the total subscription fees actually paid by the customer to Nexus during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Dietary Business Intelligence LLC, its affiliates, directors, officers, employees, licensors, and service providers from and against any claims, damages, liabilities, costs, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of applicable laws or regulations.
  • Your infringement of intellectual property or other rights of third parties.
  • Your misuse of business intelligence obtained through the Platform.
Suspension and Termination

Nexus reserves the right to suspend, restrict, or terminate access to the Platform at any time where reasonably necessary, including where:

  • These Terms are violated.
  • Fraudulent or unlawful activity is suspected.
  • Subscription fees remain unpaid.
  • Platform security is threatened.
  • Required by applicable law or regulatory authority.

Termination of access does not relieve users of obligations that by their nature survive termination, including confidentiality obligations, intellectual property protections, payment obligations, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Nexus Platform shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, unless otherwise required by applicable law.

Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure by Nexus to enforce any provision of these Terms shall not constitute a waiver of any right or provision.

Any waiver must be made in writing and signed by an authorized representative of Nexus.

Changes to These Terms

Nexus may update these Terms from time to time to reflect changes in our Services, technology, legal requirements, or business practices.

When material changes are made, we will revise the "Effective Date" at the top of these Terms and, where appropriate, provide notice through the Platform or by other reasonable means.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and Nexus regarding your use of the Services and supersede all prior agreements, understandings, representations, and communications relating to the subject matter herein.
